1. About Roxels

Roxels is a product of TB NETWORKS, S.A.P.I. de C.V. ("TB Networks"), a company incorporated under the laws of Mexico, with its registered address at Bosques de Ciruelos 180 PP, Bosques de las Lomas, Miguel Hidalgo, 11700, Mexico City, Mexico.

Roxels is not affiliated with any political or governmental organization.

2. Description of the Service

Roxels is an AI-powered platform that helps your users complete complex flows — such as onboarding, form filling, product setup, KYC/compliance processes, and other operational tasks — by guiding them step-by-step through screen sharing or by taking over and completing the process on their behalf.

When a flow is completed, Roxels can deliver all collected data to your backend systems via webhook.

The specific features, scope, and functionality of the Service may be updated from time to time at TB Networks' sole discretion.

3. Definitions

• "Platform" refers to the Roxels website, application, dashboard, APIs, and any related technology used to deliver the Service.
• "Service" or "Services" refers to all features and functionality provided through the Platform.
• "User" refers to any individual or entity that accesses, registers on, or uses the Platform, including end users guided by Roxels and business customers who integrate Roxels into their workflows.
• "Content" refers to any data, text, information, or materials uploaded, submitted, or transmitted through the Platform.

4. Account Registration and Security

To access certain features of the Service, you may need to create an account. When you do, you agree to:

• Provide accurate, complete, and up-to-date information.
• Maintain the confidentiality of your account credentials.
• Accept full responsibility for all activity that occurs under your account.
• Notify us immediately at daniel@trebu.io if you suspect any unauthorized use of your account.

You may not use another person's account without their express permission. TB Networks is not liable for any loss or damage arising from your failure to protect your account information.

TB Networks reserves the right to suspend or terminate any account — whether free or paid — at any time if these Terms are violated.

5. Subscription and Payment

Any User may create a free account by providing basic information. A paid subscription ("Active Subscription") is required to access the full scope of the Services.

By subscribing, you agree to:

• Pay all applicable fees as displayed on the Platform at the time of purchase.
• Authorize TB Networks to charge your selected payment method (credit card, debit card, or other available method) automatically upon subscription and at each renewal period.

TB Networks reserves the right to update pricing at any time. Changes will apply to new billing cycles following the update.

Payment platforms used within Roxels are independent third-party services. Any disputes related to payment processing should be directed to the applicable payment provider. TB Networks assumes no liability for the operation of third-party payment systems.

6. Cancellations and Refunds

You may cancel or pause your subscription at any time through the Platform. If you cancel:

• Refund window: A refund of the subscription fee may be requested within 2 calendar days of payment. After this period, no refunds will be issued.
• Outstanding charges at the time of cancellation will be automatically settled against your payment method on file.

TB Networks is not responsible for cancellations initiated by the User except in cases of force majeure or gross negligence attributable to TB Networks.

7. User Conduct

By using the Platform, you agree to comply with all applicable local, state, national, and international laws. You are solely responsible for your actions and omissions while using the Service.

You agree not to:

• Use the Platform for any illegal, fraudulent, or unethical purpose, including money laundering or corruption.
• Send unsolicited messages, spam, or chain communications through the Platform.
• Collect or harvest personal data of third parties without their consent.
• Impersonate any person or entity, or misrepresent your identity.
• Upload or transmit any material that is defamatory, abusive, threatening, obscene, or otherwise objectionable.
• Upload or transmit material that infringes on any third party's intellectual property rights.
• Introduce viruses, malware, or any other harmful code.
• Attempt to gain unauthorized access to the Platform, other accounts, or connected systems.
• Interfere with or disrupt the Platform's operation or any connected networks.
• Use automated tools (bots, scrapers, spiders) to access, copy, or monitor the Platform without express written permission.
• Probe, scan, or test the vulnerability of the Platform or any connected network.
• Use the Platform to promote competing products or services.

You also agree to interact respectfully with all users, support personnel, and any AI-powered agents within the Platform. Harassment, hate speech, discriminatory language, and sharing of sexually explicit or offensive content are strictly prohibited.

If you violate any of these Terms, TB Networks may suspend or terminate your account without prior notice. No refund or compensation will be owed in such cases.

8. Intellectual Property

TB Networks owns all rights, title, and interest in and to the Platform, including but not limited to: software, code, design, interfaces, trademarks, trade names, logos, graphics, and all associated intellectual property ("IP"), as protected under Mexico's Federal Law for the Protection of Industrial Property, the Federal Copyright Law, and applicable international treaties.

No license or authorization to use any of the IP is granted to the User. You may not copy, modify, reproduce, distribute, or create derivative works from any part of the Platform or its content.

9. Content Submitted by Users

By uploading or transmitting any Content through the Platform, you grant TB Networks a non-exclusive, royalty-free right to use, reproduce, adapt, modify, and distribute that Content solely for the purpose of providing and improving the Service.

You represent and warrant that you have the necessary rights to any Content you submit and that such Content does not infringe on any third party's rights.

You agree to indemnify and hold TB Networks harmless from any claims arising from Content you submit.

10. Use of Artificial Intelligence

You acknowledge and agree that Roxels uses artificial intelligence to provide its core functionality, including screen observation, real-time user guidance, task automation, data extraction, and webhook delivery. AI outputs are provided on an "as-is" basis. TB Networks does not guarantee that AI-generated guidance or actions will be error-free.

11. Third Parties

Wireless carriers, device manufacturers, operating system providers, and app stores ("Third Parties") are not party to these Terms and bear no responsibility for the Platform.

The Platform is designed for the most current versions of major web browsers and operating systems. Compatibility issues with older versions are not the responsibility of TB Networks. Data network charges are the sole responsibility of the User.

12. Disclaimer of Warranties

The Platform and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

TB Networks does not warrant that:

• The Platform will be uninterrupted, secure, or error-free.
• Defects will be corrected.
• The Platform is free of viruses or harmful components.

Any reliance on information, advice, or content obtained through the Platform is at your own risk.

13. Limitation of Liability

To the maximum extent permitted by applicable law, TB Networks and its shareholders, directors, officers, employees, agents, and advisors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or inability to use the Platform.
• Any Content or data transmitted through the Platform.
• Unauthorized access to your account or data.
• Any third-party services or links accessible through the Platform.

If any applicable law requires a remedy, TB Networks' sole obligation shall be, at its discretion, to re-provide the affected Service.

14. Indemnification

You agree to indemnify, defend, and hold harmless TB Networks and its affiliates, subsidiaries, directors, officers, employees, agents, and licensors from any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your breach of these Terms.
• Your use of the Platform.
• Any Content you submit.
• Any violation of applicable law or third-party rights.

15. Suspension and Denial of Access

TB Networks may, without prior notice, suspend or restrict your access to the Platform:

• During technical maintenance or system failures.
• If you violate these Terms or your service agreement.
• If your actions jeopardize the integrity, security, or operation of the Platform.

16. Modifications

TB Networks reserves the right to modify, update, or discontinue any part of the Platform or these Terms at any time without prior notice. Changes take effect immediately upon publication.

Your continued use of the Platform after any modification constitutes acceptance of the updated Terms.

17. Eligibility

The Services are intended for individuals who are of legal age or have sufficient legal capacity to enter into binding agreements under applicable law. If you are acting on behalf of a minor, you must have legal guardianship and provide verifiable proof upon request.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Mexico. Any disputes arising from or related to these Terms shall be submitted to the competent federal courts in Mexico City, Mexico.
